I dont's understand OG explanation.
It says that investment officers' is a possessive modifying fees, and the flural noun fees intervenes between officers'.
-> that's why a, b, e are out!
does plural pronoun such as they always refer to the word right before the pronoun if there are two plural words before the pronoun ? Please~~ somebody explains for me!! :)

A possessive noun cannot be a subject, like officer's here. so the noun here is the fees.

sentence has 'Since 1986', so we must use 'have + past participle'. -- general rule

Since the fee of the officer is more imp. here, its best to use passive form for Officer.

with all this reason D is the best.
