(A) so as not directly to be competitive against
(B) in order for them not to have direct competition with
(C) so that they do not compete directly with
(D) in order that they are not directly competitive against
(E) for the purpose of not competing directly with

in this "they" could refer to factory outlet,manufacturers or shopping centres is it so ? or since these words appear in modifying phrases separated by comma, do not lead to reference error ?

I think "they' refer to the factory outlets because we have "compete with the department stores"
C is my first choice
But is there anything wrong in E? E sounds OK also

they could refer to factory outlets or shopping centres ..how can we be so sure .."E" does not have any doubt so why not "e" ?

I think that in C "they" clearly refers to the outlet stores and is not a problem... E, however, is awkward... "for the purpose of..." sounds funny and unidiomatic

Had the same doubt that "they" can refer to any thing.

But no other option is correct enough. for the purpose is awkward.

Will go with C for the lesser of the evils

I go with C

"they" has to refer to factory outlets because the sentence has departmental stores
also, factory outlets is the subject introduced already, so the pronoun needs to refer to the subject introduced
