With 5 years of work experience and a PhD, I think your work accomplishments will easily overwhelm the resume and GPA won't even get noticed. And 3.4 is respectable GPA. You should focus on having moving "personal" reasons about why did you do PhD and why does MBA now makes sense for you. The standard explanations that you want to do entrepreneurship/tech-management won't be sufficient to differentiate you from a thousand other electrical engineers out there (and there are quite a few) throwing in their applications. Adcom wants to make sure that you are not just piling up degrees.

Wow thanks guys!
I was a bit worried and I was kinda regretting I should have done better in my course work during my ph.D.
I was more focused on my research than course work.

I think it makes sense that I should focus on issues explaining why I got a ph.D. and why I want to pursue a different path.
