I was thinking first one was right.... but may be I am wrong then .... can some one post more thoughts on it?

when confused try to make things simple. Think in the simplistic way possible. Ask yourself Is the word "Companies" a singular or plural? you can clearly say plural.. then what type of pronoun should we use for it? clearly a plural pronoun.

Statement "Companies and their members" is correct.

Statement "Companies and its members" will be correct if we say "Company and its members".

Always try to avoid confusions.

Yes Companies is the plural form of company. Hence the first one is correct . otherwise it should be company and its members.
