What is the difference between usage of "rather than" and "instead of"...??

Simply put, rather than indicates some kind of preference. Instead of is used as a way of one replacing another.
I read this on MGMAT forums and I am rephrasing it here. Instead [highlight]OF[/highlight] is a prepositional phrase, which means that it has to be followed by a noun, while "rather than" can be followed by either a verb or a noun. So when used in parallel clauses, you should watch out for those errors where they use "instead of" and then give you a verb after it, in which case it's wrong. As for everything else, from what I read on the MGMAT forum, the two are interchangeable.
