IMO D

The Chief Executive Officer met with the Board of Directors to consider the possibility of a hostile takeover attempt by a competitor and how they would have to respond to deal with them.
a. how they would have to respond to deal with them --> ambiguous pronoun
b. how to deal with them if action would become necessary --> ambiguous pronoun
c. what action would be required for dealing with such an event --> unidiomatic
d. what action would be necessary to deal with such an event --> the best
e. the necessity of taking action in order to deal with it -->ambiguous pronoun

Why C is wrong ??

Two things are considered- possibility of hostile takeover and what action , and these two must be parallel. In the given sentence these two are not parallel.

a. how they would have to respond to deal with them. We need 'what action' to make two things parallel
b. how to deal with them if action would become necessary. We need 'what action' to make two things parallel
c. what action would be required for dealing with such an event
d. what action would be necessary to deal with such an event 'action to deal' is better choice over 'action for dealing'
e. the necessity of taking action in order to deal with it. We need 'what action' to make two things parallel

D is the answer

Why C is wrong ??

this is similar to a question in og 10.
it is hard to eliminate C.

i think the meaing of "be required" is not fit in this context.

d is correct because "necessary to do " is idomatic.
