IMO, since 'to deal' is parallel to 'to consider', D woul dbe the best option of all. A,B are ambigious wrt 'they' or 'them'. E doesnt seem right with 'it' in the sentence and D may be a better choice over C because 'to deal' sounds better than 'for dealing' .

alternative explanations are welcome.

Two things are considered- possibility of  hostile takeover  and  what action   , and these two must be parallel. In the given sentence these two are not parallel.

a. how they would have to respond to deal with them.  We need 'what action' to make two things parallel 
 b. how to deal with them if action would become necessary.  We need 'what action' to make two things parallel 
 c. what action would be required for dealing with such an event 
 d. what action would be necessary to deal with such an event  'action to deal' is better choice over 'action for dealing' 
 e. the necessity of taking action in order to deal with it.  We need 'what action' to make two things parallel

i think the meaing of "be required" is not fit in this context.

d is correct because "necessary to do " is idomatic.
