i have a lousy undergrad gpa of 2.85 from a top 10 engineering school.
i also did a graduate degree in engineering part-time at a local university while working full-time. i was not academically serious till now. i took 5 years to complete the 3 year part-time graduate degree. i took classes on and off depending on what classes were offered and when i felt like taking a class. I have 1 W (withdraw) on my transcript and one incomplete on my graduate transcript.
i have a 740 gmat score. i know that my undergrad was a long time back and my poor gpa then may not be so important today. but, i finished my graduate degree just a year back. does it look bad that i took classes on and off and took so long to finish my part-timne graduate degree in engineering while i was working on the side?
what can i do to show that in the past 2 years or less i am more serious about academia?

It doesn't look bad that your graduate degree took long. That is the purpose of a part-time degree anyway. What was your graduate GPA? The problem is that your application is going to give the impression that you are not focused and you do not know what to do. Why did you get a graduate degree and then a year later go for another graduate degree? If you graduate GPA is not that great then proving you are serious is going to be difficult. Most people take graduate classes and do well to prove that they can do better. My guess is you will have a difficult time getting into Darden or USC. Of course I am not an expert. It's just my guess.
