Yes,I agree with ttnguyen,you should proceed with TOEFL.It would be the best option for you.

You would not have to take the GRE but I do believe you need to take the TOEFL. As far as your chances I believe you do have a good chance to get in a top program.

I am going to take my TOFEL before May. I am wondering whether there will be some promising working opportunities after the graduation of Phd? It seems that Phd might be over qualified to some companies right?

If you get into one of the top Phd programmes and perform well in your phd, you will have a promising career opportunities in academia. However, if you intend to go back to the industry - there is no point in getting a Phd.

How are your phd apps going? Have you shortlisted any schools? I am also aiming to apply for phd programs for fall 2013.
