The Obama Administration is not expected to allow resuming of off-shore drilling until oil companies sign a memorandum that would include a penalty if they do not follow the recommended safety guidelines.

A. is not expected to allow resuming of off-shore drilling until oil companies sign a memorandum that would include a penalty if they do(resuming modifies allow,r resumption is correct, use of would is incorrect)
B. is not expected to allow resumption of off-shore drilling until oil companies sign a memorandum that includes a penalty if they do( correct)
C. are not expected to allow resumption of off-shore drilling until they sign a memorandum that includes a penalty if oil companies do( SV agreement error)
D. is not expected to allow resumption of off-shore drilling until a memorandum by oil companies is signed that includes a penalty if they do( passive construction)
E. are not expected to allow resumption of off-shore drilling until oil companies sign a memorandum that would include a penalty if they did(SV agreement error)

Will go with choice B.

Memorandum is singular so verb should be singular A, D are out
