Clawback  may be defined as monies that are distributed with the understanding that they may be taken back under certain circumstances. The term is used in a variety of contexts, but recently it most frequently appears in discussions of executive bonuses.

Scandals at Enron, Tyco, and WorldCom led to the Sarbanes-Oxley Act of 2002, which revised standards for the boards and management of public companies. Included in the act was a provision for clawback, requiring CEOs and CFOs of public companies to return bonuses, incentives, equitybased compensation, and profits on sales of company stock that they receive within the 12-month period following the public release of financial information that indicates willful noncompliance with financial reporting requirements under the federal securities laws.

The Dodd-Frank Act of 2010 went further, requiring clawback in the case of noncompliance whether it was or was not the fault of the executive. SEC Commissioner Troy Paredes declared that this sort of provision was “troubling,” as it raised the possibility that an honest official might have his or her compensation revoked due to an accounting error.

Despite a rather large and well-publicized clawback in 2007, when the CEO and chairman of UnitedHealth was found guilty of misleading investors by backdating stock options and forced to repay $468 million, it is unclear how valuable clawback provisions have been to the regulation of corporations. In theory, financial managers and CEOs now have a personal incentive to publish correct and complete financial information. In practice, as John Cassidy suggested in a 2010 New Yorker article, the policy may be more of a public relations tool than a genuine reform with teeth.    1

The statement " In practice, as John Cassidy suggested in a 2010 New Yorker article, the policy may be more of a public relations tool than a genuine reform with teeth." seems to shout to me as if the Cassidy was indeed criticizing when he says that its not a genuine reform. 
In the question we are only asked about JC's attitude and not author's/Parades's.

Option C & D are very close. What makes us rule out C?

The reason I selected C was due to the last line in first paragraph, i.e. " The term is used in a variety of contexts, but recently it most frequently appears in discussions of executive bonuses.". By this sentence, I know that we are going to discuss more about bonuses & Clawbacks in the para ahead and we aren't merely defining the term.

Can you please weigh in?
